1. Acceptance of Terms

Welcome to Ayasan.jp. These Terms of Service ("Terms") govern your access to and use of the Ayasan.jp website, mobile application, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you and Ayasan.jp ("Company," "we," "us," or "our"). These Terms are governed by and construed in accordance with the laws of Japan.

2. Services Description

Ayasan.jp provides home services, hospitality staffing, and technology solutions, including but not limited to:

• Home cleaning, babysitting, and elderly care services
• Staffing services for hotels, restaurants, and hospitality businesses
• SaaS solutions for foreign labor management
• Cross-border FinTech banking services
• Job platform for English-speaking foreigners in Japan

The specific services available to you may depend on your location, eligibility, and other factors. We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time.

3. User Accounts

3.1 Account Creation

To access certain features of our Services, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

3.3 Age Restrictions

You must be at least 18 years old to create an account and use our Services. By creating an account and using our Services, you represent and warrant that you are at least 18 years old.

4. Booking and Payment Terms

4.1 Service Booking

When you book a service through Ayasan.jp, you agree to provide accurate and complete information about your service needs. We will make reasonable efforts to match you with appropriate service providers based on the information you provide.

4.2 Pricing and Payment

All prices are listed in Japanese Yen (JPY) and are inclusive of applicable consumption tax. Payment must be made in advance for most services. We accept various payment methods as indicated on our payment page.

4.3 Cancellation and Refunds

Cancellation policies vary depending on the service. Generally, cancellations made at least 24 hours before the scheduled service time may be eligible for a full or partial refund. Cancellations made less than 24 hours before the scheduled service time may not be eligible for a refund. Please refer to the specific cancellation policy for each service at the time of booking.

5. User Conduct

You agree not to:

• Use the Services in any way that violates any applicable law or regulation
• Use the Services for any harmful, fraudulent, or deceptive purpose
• Interfere with or disrupt the Services or servers or networks connected to the Services
• Attempt to gain unauthorized access to any portion of the Services
• Use the Services to harass, abuse, or harm another person
• Use the Services to collect or store personal data about other users without their consent
• Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity

6. Intellectual Property Rights

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Ayasan.jp, its licensors, or other providers of such material and are protected by Japanese and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as follows:

• Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials
• You may store files that are automatically cached by your Web browser for display enhancement purposes
• You may print or download one copy of a reasonable number of pages of the website for your own personal, non-commercial use and not for further reproduction, publication, or distribution

7. Limitation of Liability

To the fullest extent permitted by applicable law, Ayasan.jp shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability to you for all claims exceed the amount paid by you, if any, for accessing or using our Services during the twelve (12) months preceding the claim.

8. Indemnification

You agree to defend, indemnify, and hold harmless Ayasan.jp, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content, any use of the Services' content, services, and products other than as expressly authorized in these Terms.

9. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Services, or notify us that you wish to delete your account. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law and Dispute Resolution

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Tokyo, Japan, and you hereby consent to the personal jurisdiction and venue therein.

Any dispute arising from or relating to the subject matter of these Terms shall first be resolved through informal negotiations. If the dispute cannot be resolved through negotiations, it shall be resolved through mediation and, failing that, final and binding arbitration conducted in Tokyo, Japan, in accordance with the rules of the Japan Commercial Arbitration Association.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.
